1. Overview

ReadySMS operates a business-to-business SMS platform for real estate professionals. The Operator Program allows approved partners to refer new users to ReadySMS and earn markup-based commissions on those users' credit purchases.

You are not a reseller. ReadySMS owns the billing relationship with every user, provides all customer support, and handles all regulatory compliance (10DLC, TCPA, carrier requirements). You are an independently operating referral partner.

2. Operator Obligations

2.1 Honest Representation

You must represent ReadySMS and its capabilities accurately. You must not:

• Make false or misleading claims about the platform's features, capabilities, or performance.
• Guarantee specific results to prospective users, including deliverability rates, response rates, conversion rates, or revenue outcomes.
• Misrepresent your relationship with ReadySMS. You are an independently operating referral partner, not an employee, agent, or authorized representative of ReadySMS.

2.2 Prohibited Marketing Practices

You must not:

• Send unsolicited text messages, emails, or make cold calls to businesses claiming to represent ReadySMS or promoting ReadySMS services.
• Spam or send bulk unsolicited communications of any kind to recruit users to the platform.
• Use ReadySMS branding, logos, or trademarks beyond the approved "Powered by ReadySMS" badge.

2.3 Existing User Protection

You must not solicit, recruit, or attempt to convert existing ReadySMS users into your operator network, interfere with ReadySMS's direct customer relationships, or encourage users to cancel and re-register through your invite link.

2.4 Legal Compliance

You must comply with all applicable federal, state, and local laws, including the CAN-SPAM Act, TCPA, and state-level telemarketing regulations.

3. Prohibited Activities

The following are grounds for immediate termination:

• Impersonation. Sending communications that state or imply you are ReadySMS or a ReadySMS employee.
• Fraud. Creating fake user accounts, generating artificial message volume, or inflating earnings artificially.
• Compliance circumvention. Advising or assisting users in bypassing platform compliance features (opt-out, quiet hours, content filters, 10DLC).
• Price guarantees. Guaranteeing users a specific per-message price. You set your markup, but cannot guarantee ReadySMS won't adjust base rates.
• Data purchasing. Purchasing contact lists on behalf of users. Users must own and have consent for all contacts.
• Credential sharing. Providing your operator dashboard access or API credentials to third parties.

4. ReadySMS Obligations

We will provide and maintain the Operator Dashboard, provide customer support directly to all referred users, handle all regulatory compliance, and provide at least 14 days' written notice before making changes to pricing, terms, or features that affect operator earnings.

5. Markup and Earnings

You may set your own per-segment markup rate within $0.001 – $0.050 per segment. Earnings = segments purchased by your referred users × your markup rate. ReadySMS may adjust base credit rates with 14 days' notice; your markup is unaffected. No earnings are guaranteed — they depend entirely on user activity.

6. Payouts

• Platform credits: Minimum $10. Processed immediately.
• Cash: Minimum $50. Processed within 30 days of request.

US-based operators must provide a W-9 before first cash payout. ReadySMS will issue a 1099-NEC for earnings over $600/year. You are an independent contractor responsible for your own taxes.

7. Intellectual Property

ReadySMS retains all rights to the platform, brand, and technology. You receive a limited, revocable license to use the "Powered by ReadySMS" badge only. User data belongs to users, not you.

8. Term and Termination

Either party may terminate with 30 days' written notice. ReadySMS may terminate immediately for fraud, illegal activity, material breach, or reputational harm. On termination: your dashboard access is revoked, pending earnings are paid within 60 days, and users remain ReadySMS users.

For 12 months following termination, you may not solicit or recruit users you referred to any competing SMS platform.

9. Liability

You indemnify ReadySMS against claims arising from your marketing activities. ReadySMS's total liability is limited to earnings paid in the prior 12 months. No warranty on earnings amounts.

10. Dispute Resolution

Governed by Delaware law. Disputes resolved informally first (30 days), then by binding AAA arbitration.

11. General

ReadySMS may amend this Agreement with 14 days' notice. You may not assign this Agreement without consent. Nothing creates an employment or agency relationship. You are an independent contractor.
